1. Acceptance of Terms

By accessing or using the MeasureRight Solutions website at measurerightsolutions.com.au or the MeasureRight web application at app.measurerightsolutions.com.au (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.

2. Description of Service

MeasureRight is a Software as a Service (SaaS) platform providing quoting, invoicing, expense tracking and job profitability reporting tools for trade businesses and small enterprises operating in Australia.

MeasureRight is business software, not professional advice. It is not a substitute for qualified accounting, taxation, financial or legal advice. You are responsible for verifying all quotes, invoices and financial documents before sending them to clients or providing them to accountants or tax authorities.

3. Beta Software Status

MeasureRight is currently provided as a "Beta" release. During the beta period:

• The Service is provided to you free of charge.
• Features may be added, changed or removed without prior notice.
• The Service may contain bugs, errors or inaccuracies.
• We make no guarantee of continuous availability or uptime.
• We recommend keeping independent records of important business documents.

4. Account Responsibilities

To use the Service you must register for an account. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Providing accurate and current information during registration
• Notifying us promptly if you suspect unauthorised access

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable Australian law, including the Australian Consumer Law
• Create fraudulent, misleading or deceptive quotes or invoices
• Infringe the intellectual property or privacy rights of any person
• Upload or introduce malicious code, viruses or harmful software
• Attempt to gain unauthorised access to our systems or other users' data

6. User Content and Data

You retain ownership of all data you enter into the Service — including quotes, invoices, client records and expenses. By using the Service, you grant MeasureRight Solutions a limited licence to host, process and display that data solely for the purpose of providing the Service to you.

You are responsible for ensuring that any client or third-party information you enter into the Service is handled appropriately and that you have the right to provide it.

7. Quote, Invoice and Financial Calculations

Profit estimates, margin calculations, GST figures and other financial outputs produced by the Service are estimates based on the data you enter. They are provided to assist your business planning only.

• MeasureRight does not guarantee the accuracy of any financial calculation.
• Always verify quotes and invoices before sending them to clients.
• Always verify tax figures with a qualified accountant or tax adviser.
• MeasureRight is not responsible for any financial loss or tax liability arising from reliance on its calculations.

8. Not Professional Advice

MeasureRight is business software only. Nothing in the Service constitutes accounting, taxation, financial, legal or other professional advice. Do not rely on the Service as a substitute for qualified professional advice appropriate to your situation.

9. Authentication Services

MeasureRight supports sign-in via Google OAuth and Microsoft authentication. By using these options, you are also subject to the terms and privacy policies of those providers. We use OAuth access solely to verify your identity and, where you have authorised it, to send emails on your behalf.

10. No Guarantee of Business Outcomes

MeasureRight does not guarantee that using the Service will result in accepted quotes, paid invoices, improved profitability or any other business outcome. The Service is a tool — results depend on how you use it and factors outside our control.

11. Availability and Maintenance

We aim to keep the Service available but do not guarantee uninterrupted access. The Service may be unavailable for maintenance, updates or due to circumstances beyond our control. During the beta period in particular, outages or interruptions may occur without notice.

12. Third-Party Services

The Service relies on third-party providers including Supabase (database), Replit (hosting), Google (authentication and email) and Microsoft (authentication and email). We are not responsible for the availability, performance or conduct of these services.

13. Intellectual Property

Our platform: The Service, including its design, features, functionality and code, is the property of MeasureRight Solutions and is protected under Australian copyright and other applicable laws.

Your data: You retain ownership of all data you input into the Service.

14. Payment Terms

The Service is currently free during the beta period. When paid plans are introduced, you will be given clear advance notice. You will not be charged for any paid plan without actively choosing and agreeing to it.

15. Suspension and Termination

We reserve the right to suspend or terminate your account if you breach these Terms or if required by law. You may close your account at any time by contacting us. On termination, your access to the Service will end. We will retain your data for a reasonable period in case you wish to retrieve it before it is deleted.

16. Limitation of Liability

To the maximum extent permitted by applicable Australian law, MeasureRight Solutions and its personnel shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of or inability to use the Service, including but not limited to:

• Loss of data, profits or business opportunity
• Financial loss or tax penalties arising from incorrect data, quoting errors or GST miscalculations
• Reliance on the Service as a substitute for professional advice

Nothing in these Terms excludes, restricts or modifies any consumer guarantee or right that cannot be excluded under the Australian Consumer Law.

17. Changes to the Service and Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where reasonably practicable, notify you by email. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

We may modify, add or remove features from the Service at any time, particularly during the beta period.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising under these Terms are subject to the jurisdiction of the courts of Victoria.
